1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Merol Media ("Company," "we," "our," or "us") governing your access to and use of our website merolmedia.com and all related marketing consulting services.

By engaging our services or accessing our website, you agree to be bound by these Terms. If you disagree with any part, you may not access our services.

2. Services

Merol Media provides digital marketing consulting services including, but not limited to:

  • Marketing audits and strategic assessments
  • Growth strategy development and execution planning
  • Paid advertising management and optimization
  • Conversion rate optimization consulting
  • Marketing technology stack evaluation and implementation
  • Analytics setup, tracking, and performance reporting

The specific scope, deliverables, and timeline of services will be outlined in a separate Statement of Work (SOW) or service agreement for each engagement.

3. Client Responsibilities

To ensure effective delivery of our services, you agree to:

  • Provide accurate and complete information necessary for the performance of services
  • Grant timely access to required platforms, analytics accounts, and marketing tools
  • Designate an authorized point of contact for project communications
  • Review and provide feedback on deliverables within agreed-upon timeframes
  • Ensure all materials provided to us comply with applicable laws and regulations
  • Maintain the confidentiality of any proprietary methodologies shared during the engagement

4. Payment Terms

  • Payment terms, fees, and billing schedules will be specified in the applicable SOW or service agreement
  • All fees are quoted in USD unless otherwise stated
  • Invoices are due within 15 days of issuance unless otherwise agreed
  • Late payments may incur a 1.5% monthly interest charge on outstanding balances
  • We reserve the right to suspend services for accounts with overdue balances exceeding 30 days
  • Refunds are subject to the terms outlined in the specific service agreement

5. Intellectual Property

5.1 Client Materials

You retain all rights to materials, data, and content you provide to us. By sharing these materials, you grant us a limited, non-exclusive license to use them solely for the purpose of delivering the contracted services.

5.2 Deliverables

Upon full payment, you will own the custom deliverables created specifically for your engagement, including strategies, reports, and campaign assets. Merol Media retains ownership of proprietary tools, frameworks, templates, and methodologies used in the delivery of services.

5.3 Portfolio Rights

We reserve the right to reference the engagement and display non-confidential results in our portfolio and marketing materials, unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes business strategies, financial data, customer information, marketing performance metrics, and any information marked as confidential. This obligation survives termination of the engagement for a period of two (2) years.

7. Limitation of Liability

To the fullest extent permitted by law, Merol Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, including but not limited to loss of revenue, profits, data, or business opportunities.

Our total aggregate liability for any claims arising from these Terms or our services shall not exceed the total fees paid by you to Merol Media during the twelve (12) months preceding the claim.

Marketing results are inherently variable and dependent on numerous external factors. We do not guarantee specific outcomes, rankings, conversion rates, or revenue figures.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the results of our marketing consulting services, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

Either party may terminate the engagement with 30 days' written notice, unless otherwise specified in the SOW. Upon termination:

  • You are responsible for payment of all services rendered through the termination date
  • We will deliver all completed work product and materials
  • Both parties will return or destroy confidential information of the other party
  • Provisions related to confidentiality, intellectual property, and limitation of liability shall survive termination

10. Indemnification

You agree to indemnify and hold harmless Merol Media, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, your use of our services, or your violation of any applicable laws or third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall first be addressed through good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after any modifications constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
